1. Scope of Services:

The scope of services for this project is limited to the design as described in the invoice. Any additional services will be subject to a separate fee agreement.

2. Cost:

The cost of the designs is negotiable but it is at the discretion of the Designer to set the cost of the design.

3. Acceptance of Payment:

The client acknowledges that the work shall commence only after a minimum of 50% of payment of the decided Amount. The rest is to be paid upon completion of the design within 5 days of the delivery of the design. In case of late payment, 2.5% late fee will be charged every 5 days.

4. Revision Policy:

The designer commits to a limited number of revisions to ensure client satisfaction. The limit on free revisions is 2 for minute changes and hereafter after additional charge would be incurred on each additional revision, The cost of revision shall depend on the level of work needed to be done. No revisions are to be done after the completion and delivery of the design.

5. Deadline and Delivery:

Unless otherwise specified by the client, the Designer establishes a standard upon his discretion for project completion.

6. Usage Rights:

The client retains full ownership of the completed work, and the Designer reserves the right to showcase the work in their portfolio unless otherwise agreed upon. Once the work is finalized and payment is done in full, the client has complete freedom to utilize the product as they see fit.

7. Intellectual Property:

The designer, not being an illustrator, utilizes licensed stock images and assets tailored to the client’s needs. All assets are obtained with full licensing rights to ensure legal and proper usage.

8. Refund Policy:

There are no refunds, Refunds will be initiated only in rare circumstances at the discretion of the designer. Completed work is non-refundable.

9. Cancellation Policy:

If the client chooses to cancel the design project after the commencement of the work, the 50% payment made before the commencement shall be non-refundable. In addition, the client agrees to compensate the Designer by paying an additional 30% of the agreed-upon amount as cancellation fees. The Designer shall waive the remaining 20% of the agreed-upon amount.

10. Client Responsibilities:

The Client acknowledges that timely provision of necessary materials, feedback, and approvals is essential for the successful completion of the project. Failure to meet these responsibilities may result in project delays and additional charges.

11. Communication:

Primary communication will be conducted through Google Meet, Email, WhatsApp, and calls by Divy Ramoliya and Ronak Ramoliya and any other person contacting from any other means on behalf of the designer is to be deemed as an unofficial conversation.

12. Confidentiality:

Both parties agree to keep all information exchanged during the course of this agreement confidential. The Designer shall not disclose any confidential information about the Client’s business, and vice versa.

13. Termination:

The Designer may terminate this agreement with written notice if the other party breaches any material term of this agreement.

14. Force Majeure:

Neither party shall be liable for any failure or delay in performing their obligations under this agreement if such failure or delay is due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, or government regulations.

15. Warranties:

The Designer warrants that the work delivered under this agreement will be original and will not infringe upon the intellectual property rights of any third party. However, the Client accepts the work “as is,” and the Designer makes no other warranties, express or implied.

16. Notices:

All notices or other communications required or permitted by this agreement shall be in writing and delivered by email to the email addresses provided by each party.

17. Governing Law and Jurisdiction:

This agreement shall be governed by and construed by the laws of India. Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts in Surat.
